Notice Concerning the Issuance of Stock Options
(Stock Acquisition Rights)

Nikon Corporation (the "Company") hereby announces that at a meeting of the Board of Directors held on June 29. The specific details of the Stock Acquisition Rights to be issued, pursuant to Articles 280-20 and 280-21 of the Commercial Code of Japan and a resolution made at a ordinary general meeting of shareholders, have been decided as follows.

  1. Date of Issuance: July 1, 2004

  2. Total Number of Stock Acquisition Rights: 210

  3. Issue Price: Issued in gratis without receipt of consideration

  4. Class and Number of Shares Subject to Stock Acquisition Rights: 210,000 shares of common stock (The number of shares subject to each Stock Acquisition Right shall be 1,000.)

  5. Amount to be Paid upon Exercise of Stock Acquisition Rights: To be determined on July 1, 2004

  6. Total Amount of the Company's Common Stock to be Issued or Transferred as a Consequence of the Exercise of Stock Acquisition Rights: To be determined on July 1, 2004

  7. Issuance of Stock Acquisition Right Certificates: Stock Acquisition Right Certificates will be issued only at the request of the holders of Stock Acquisition Rights.

  8. The Amount not to be Appropriated for Capital from the Issue Price per Share of the Company's Common Stock Newly Issued as a Consequence of the Exercise of Stock Acquisition Rights. To be calculated by subtracting the amount to be appropriated for capital from the issue price per share ( to be determined on July 1, 2004). The amount to be appropriated for capital shall be the amount calculated by multiplying the issue price per share by 0.5 and any amount below 1 yen occurring as a result of such calculation shall be round up to the nearest 1 yen.

  9. The Number and Details of Beneficiaries of Stock Acquisition Rights: To be granted to 22 members of the Board of Directors and Executive Officers of the Company.

(1) Resolution date of the Board of Directors to place at ordinary general meeting of shareholders:May 10, 2004
(2) Resolution date at the ordinary general meeting of shareholders: June 29, 2004
(3) Exercise Period of Stock Acquisition Rights: June 30, 2006-June 29, 2014
